The QCA Corporate Governance Committee responded to the Institute of Chartered Secretaries and Administrators' (ICSA) consultation on reviewing the Higgs Guidance in light of revisions to the UK Corporate Governance Code (previously known as the Combined Code). We noted that we are concerned that any guidance may be interpreted as rules and recommend caution in drawing up the guidance to ensure that this is not the case.
